Treasury permanently ends BOI reporting for US aircraft-owning LLCs

US-registered aircraft LLCs no longer need to file beneficial-ownership reports. The Financial Crimes Enforcement Network published a final rule on 14 August 2026. It adopts as permanent the interim exemption FinCEN issued in March 2025.

The final rule appears in the Federal Register as document 2026-16576. It removes the Corporate Transparency Act reporting duty for US-formed entities and their US-person beneficial owners. FinCEN has undertaken to delete US-person data already held in its beneficial-ownership information database.

Ownership of a business jet through a Delaware or Florida LLC is the standard structure for principals. It provides liability separation, management flexibility, and simpler leasing arrangements. Before the March 2025 interim rule, each such LLC had to file an initial BOI report with FinCEN. Updates were required within thirty days of any change to membership, management, or a beneficial owner's address.

For owners the immediate effect is twofold. The ongoing update duty is gone. Information already lodged will be deleted from the FinCEN database. Foreign entities that register to do business in a US state still report BOI, but only for their non-US-person beneficial owners. State-level ownership disclosure regimes, where they exist, are not affected by the federal rule.

The rule does not touch Federal Aviation Administration requirements. Changes to an LLC's ownership or management must still be reported in writing to the FAA Aircraft Registry at Oklahoma City. Aircraft security instruments and the aircraft's underlying certificate of registration remain unchanged. NBAA had argued that CTA reporting duplicated FAA disclosure duties for aircraft-owning entities.
